Summary (in plain words)
This box is a plain-language summary and is not a substitute for the full Terms below.
- What Somoney is. A bookkeeping / billing / inventory / GST app for your business. It works on your phone; cloud backup and signing in with Google are optional. It is not a bank, a payment service, a lender, or a tax/accounting adviser.
- Your data is yours. You own your business records. We own the app.
- You are responsible for the accuracy of what you enter, for getting consent from the people whose details you store, and for your own tax and legal compliance.
- Keep backups. Because your data lives on your device, keep a current encrypted backup. We can’t recover a lost backup password.
- It’s provided “as is”. We do our best, but we can’t guarantee it’s error-free, always available, or a substitute for professional advice. Our liability is limited as set out below — but we never exclude liability the law does not allow us to exclude.
- Free today. Somoney is currently free. If we add paid features, we’ll tell you the price first.

1. Definitions
- “Somoney” / “the app”
- the Somoney mobile application (package
com.shubhtech.ledger) and related services we provide. - “you” / “user”
- the person or business that downloads, installs, or uses the app.
- “your data” / “your content”
- the business records and information you create or enter in the app.
- “Cloud Backup & Sync”
- the optional feature that copies your data to our cloud.
- “Privacy Policy”
- our Privacy Policy, which forms part of these Terms.
- “DPDP Act”
- the Digital Personal Data Protection Act, 2023, and the rules under it.
Terms defined in the Privacy Policy (Data Fiduciary, Data Processor, Data Principal, personal data) carry the same meaning here.
2. Acceptance of these Terms
By downloading, installing, accessing, or using Somoney, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the app. If you use Somoney on behalf of a business, you confirm you are authorised to accept these Terms for that business, and “you” includes that business.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract under Indian law, and you must use Somoney only for lawful business purposes. Somoney is intended for shopkeepers and small businesses in India.
4. Licence to use the app
We grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use Somoney on devices you own or control, for your own business, subject to these Terms. All rights not expressly granted are reserved.
5. Restrictions — what you may not do
You must not, and must not allow anyone to:
- copy, modify, translate, or create derivative works of the app, except as the law expressly permits despite this restriction;
- reverse-engineer, decompile, or disassemble the app, or attempt to derive its source code, except to the limited extent the law expressly permits despite this restriction;
- rent, lease, lend, sell, sublicense, or otherwise commercially redistribute the app;
- remove or alter any proprietary notices;
- probe, scan, attack, overload, disrupt, or gain unauthorised access to the app, our servers, or other users’ data, or bypass any security or access control;
- use the app to build a competing product, or to scrape or harvest data;
- use the app for any unlawful, fraudulent, infringing, deceptive, or abusive purpose.
6. Your account & security
- Where you use Google Sign-In, you are responsible for keeping your Google account secure — we authenticate you through it but do not control it.
- You are responsible for keeping your app PIN and any backup passwords secure, and for all activity that occurs under your account or on your device.
- Your
.sphbackup password cannot be recovered by us — if you lose it, the backup cannot be opened. - Notify us promptly at privacy@somoney.in if you believe your account has been accessed without your authorisation.
7. Your responsibilities & acceptable use
You agree that you will:
- enter accurate information and keep your records correct and up to date;
- comply with all applicable laws in your use of the app, including tax, GST, record-keeping, money-lending, and consumer-protection laws that apply to your business;
- obtain any consent required before storing another person’s personal data (for example your customers or staff). As set out in Section 12 and the Privacy Policy, you are the Data Fiduciary for that data and Somoney is your Data Processor; you are responsible for the lawfulness of collecting, storing, and using it, and for responding to those individuals’ rights requests;
- confirm the age of staff you add (18 or older, or that you hold verifiable parental/guardian consent), as the app prompts;
- use the app only for lawful business purposes and in accordance with Section 5.
8. Your data & backups
Your business records are yours. Because Somoney is local-first, your data is stored on your device unless you enable Cloud Backup & Sync. You are responsible for maintaining your own backups. We are not liable for loss of data resulting from device loss or failure, uninstalling or clearing the app, forgotten PINs or backup passwords, operating-system behaviour, or your failure to keep a current backup. We strongly recommend keeping a current encrypted .sph backup. You can export your data at any time (Section 13).
9. Data protection & processor terms (customer/staff data)
This Section, together with the Privacy Policy, constitutes the written contract required by Section 8(2) of the DPDP Act for our processing of personal data about your customers and staff on your behalf.
- Roles. For the personal data you enter about other people, you are the Data Fiduciary and we are your Data Processor. For your own account/business data, we are the Data Fiduciary (see the Privacy Policy).
- Scope & instructions. We process that personal data only to provide the app to you and on your instructions (storing, syncing, displaying, exporting, and deleting it as you direct through the app), and as required by law.
- Purpose limitation. We do not use that personal data for our own purposes, and we do not sell it or use it for advertising.
- Security. We apply the security measures described in the Privacy Policy (Section 15).
- Sub-processing. We may engage the sub-processors listed in the Privacy Policy (Section 10), each bound to protect the data; we remain responsible for their processing on our behalf.
- Assistance. We will help you meet your obligations to those individuals — for example, by letting you edit or delete their records in the app, and by erasing cloud data on your verified instruction.
- Deletion / return. On deletion within the app, or on termination, we delete or return the personal data as described in the Privacy Policy (Section 14), except where the law requires retention.
10. Not professional advice; computational aids
Somoney provides bookkeeping, billing, inventory, and calculation tools (including GST-related computations, invoices, and report/return exports) for your convenience as computational aids only. In particular:
- The app is not a substitute for professional accounting, tax, legal, or financial advice, and nothing in the app is such advice.
- The app does not file any tax return, does not register invoices with the Invoice Registration Portal (IRP), and does not generate legally registered e-invoices (IRN / signed e-invoice QR).
- You are solely responsible for the correctness of your records, invoices, filings, and returns, for your tax and GST compliance, and for verifying any figure before you rely on it. Consult a qualified professional where appropriate.
11. Financial matters — what Somoney is not
- Not a payment service. Somoney does not process, collect, hold, pool, or settle any funds, and is not a payment aggregator, payment gateway, or payment system operator. Where the app generates a UPI link or QR code, payment is completed entirely between the payer’s and the payee’s own banks through the payer’s chosen UPI application; Somoney is not a party to any payment.
- Not a lender. Somoney does not lend money, advance credit, or facilitate lending. Any credit (“udhar”) you record is credit you extend to your own customers; you are solely responsible for the lawfulness of your credit, interest, and collection practices, including any applicable money-lending law.
- Not a bank or financial institution, and not regulated as one.
12. Intellectual property
- Our IP. The Somoney application, its name, logo, design, user interface, and software are owned by us (or our licensors) and are protected by intellectual-property law. The licence in Section 4 does not transfer any ownership. All rights not expressly granted are reserved.
- Your IP. Your business data remains yours. You grant us only the limited rights necessary to operate the app and provide the features you use (for example, storing and syncing your data when you enable cloud backup).
- Third-party & open-source components. The app includes third-party and open-source software; the applicable notices and licences are made available with the app.
- Feedback. If you send us suggestions or feedback, you agree we may use them without obligation to you.
13. Data portability & export
You can export your data from the app at any time — as an encrypted .sph backup or a plain JSON file (see the Privacy Policy, Section 9) — so you can keep or move your records. This supports your right to data portability.
14. Fees
Somoney is currently provided free of charge. If we introduce paid features, subscriptions, or in-app purchases in future, the applicable pricing and terms will be presented to you before you incur any charge, and your continued use of a paid feature will be subject to those terms and to any refund/cancellation policy we then publish. Nothing in these Terms obliges us to keep any feature free.
15. Third-party services & app stores
The app relies on certain third-party services (for example cloud infrastructure, Google Sign-In, and crash diagnostics) as described in the Privacy Policy, and is distributed through the Google Play Store and the Apple App Store, whose own terms also govern your download and use. We are not responsible for third-party services outside our control, though we choose them with care and remain responsible for processors acting on our behalf as stated in the Privacy Policy.
16. Disclaimers
To the maximum extent permitted by law, the app is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the app will be uninterrupted, timely, secure, or error-free, or that any computation, report, or export will be accurate or complete. You use the app at your own discretion and risk. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, warranty, right, or remedy that applicable law does not permit to be excluded, restricted, or modified.
17. Limitation of liability
To the maximum extent permitted by law:
- we (and, being an individual sole proprietor, the operator personally) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or in connection with your use of, or inability to use, the app, however caused and on any theory of liability;
- our total aggregate liability for all claims arising out of or relating to the app or these Terms will not exceed the greater of (a) the total amount you paid us for the app in the twelve (12) months before the event giving rise to the claim, or (b) ₹1,000.
These limits do not apply to, and nothing in these Terms excludes or limits, liability that cannot be excluded or limited under applicable law — including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, for gross negligence or wilful misconduct, or under the DPDP Act or other mandatory law. Because these limits may be read against us as the party with greater bargaining power, they are intended to apply only to the extent they are fair and reasonable under Indian law; if any limit is held unenforceable, it applies to the maximum extent permitted, and the remainder of this Section stands.
18. Indemnity
To the extent permitted by law, you agree to indemnify and hold us harmless from third-party claims, losses, and reasonable costs arising out of: (a) your breach of these Terms or the Privacy Policy; (b) your unlawful use of the app; or (c) your handling of the personal data of your customers or staff — including a failure to obtain a required consent, or a breach of your obligations as their Data Fiduciary. This indemnity does not apply to the extent a claim arises from our own breach, negligence, or unlawful act, and is subject to the limits and carve-outs in Section 17.
19. Suspension & termination
- By you. You may stop using Somoney at any time and delete your data as described on our deletion page.
- By us. We may suspend, restrict, or discontinue the app (in whole or in part), or your access, where reasonably necessary — for example for security, legal, abuse, or operational reasons. Where practicable and lawful, we will give reasonable notice.
- Effect. On termination, the licence in Section 4 ends. Sections that by their nature should survive — including 8, 9, 10, 11, 12, 16, 17, 18, 20, 21, and 22 — survive termination. Your right to export and delete your data (Section 13 and the Privacy Policy) is unaffected.
20. Changes to these Terms
We may update these Terms as the app evolves or the law changes. We will update the version and date above and the version-history table and, where a change is significant, bring it to your attention in the app. Your continued use of the app after an update takes effect constitutes acceptance of the updated Terms. If you do not agree to an update, stop using the app and delete your data.
21. Governing law, jurisdiction & disputes
- These Terms and any dispute arising out of or in connection with them or the app are governed by the laws of India.
- Subject to any non-excludable right you have to approach a consumer forum or other statutory authority, the courts of competent jurisdiction in India shall have exclusive jurisdiction over any dispute.
- Grievances first. Before commencing proceedings, we encourage you to contact us at grievance@somoney.in so we can try to resolve the matter; and where the dispute concerns personal data, the DPDP grievance and Data Protection Board process in the Privacy Policy applies.
22. General
- Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control (for example, acts of God, network or infrastructure failures, third-party service outages, strikes, or government action).
- Severability. If any provision is held invalid or unenforceable, the rest remain in effect, and the invalid provision is modified to the minimum extent needed to make it enforceable while preserving its intent.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign or transfer these Terms (for example, in connection with a reorganisation or a transfer of the business), with notice where required and without diminishing your rights.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the app and supersede prior understandings on that subject.
- Notices. We may give you notices in the app or by the contact details associated with your account. You may reach us at the contacts below.
- Language. These Terms are published in English and other languages; the English version governs in case of any inconsistency.
